Terms and Conditions of Use

01Acceptance of the terms

By installing, activating or using SK Landed Cost Manager (hereinafter the “Extension”), the Customer accepts these Terms and Conditions of Use.

If the Customer does not accept these terms, the Customer must not install or use the Extension.

02Description of the Extension

SK Landed Cost Manager is an extension for Microsoft Dynamics 365 Business Central that enables the management of inbound shipments, landed costs, cost allocations, purchasing flows and related inventory valuation operations.

The Extension relies on the standard features of Microsoft Dynamics 365 Business Central, including Item Charges and posting mechanisms.

03Grant of licence

Subject to compliance with these Terms and Conditions of Use and the applicable Microsoft Marketplace terms, SKOR CONSEIL grants the Customer a limited, non-exclusive, non-transferable and revocable licence to install and use the Extension in authorised Microsoft Dynamics 365 Business Central environments.

This licence does not grant any ownership rights in the Extension.

All rights not expressly granted remain reserved to SKOR CONSEIL.

04Intellectual property

The Extension, its code, documentation, graphical elements, trademarks and, more generally, all of its components remain the exclusive property of SKOR CONSEIL.

Nothing in these Terms and Conditions of Use shall be interpreted as transferring any intellectual property rights to the Customer.

05Use restrictions

The Customer agrees not to:

• copy, reproduce or redistribute the Extension;
• modify, adapt, decompile or attempt to obtain the source code of the Extension;
• remove intellectual property notices;
• use the Extension to develop a competing solution;
• make the Extension available to unauthorised third parties.

Subject to any mandatory rights provided under applicable law.

06Customer responsibilities

The Customer remains solely responsible for:

• the configuration of its Microsoft Dynamics 365 Business Central environment;
• the data entered and used in its environment;
• verifying the results produced by the Extension;
• compliance with its accounting, tax, customs, regulatory and financial obligations.

The Extension is a management and decision-support tool.

It does not replace the Customer’s internal control procedures, nor the accounting, financial, tax or regulatory validations for which the Customer is responsible.

The Customer acknowledges that the quality of the results produced depends in particular on:

• the quality of the data entered;
• the configuration and setup performed;
• compliance with the documentation published by SKOR CONSEIL;
• the overall configuration of its Business Central environment.

07Compatibility and updates

Microsoft Dynamics 365 Business Central is a platform operated and maintained by Microsoft.

SKOR CONSEIL develops and maintains the Extension in order to ensure its compatibility with officially supported versions of Microsoft Dynamics 365 Business Central.

• The Customer acknowledges that postponing, refusing or delaying updates provided by Microsoft may limit access to enhancements, fixes or new features of the Extension;
• SKOR CONSEIL shall not be held responsible for malfunctions resulting from the use of obsolete or unsupported versions of Business Central;
• custom developments or third-party extensions may affect the normal operation of the Extension.

08Privacy and data processing

The data processing arrangements are described in the Privacy Policy associated with the Extension, available at:

Use of the Extension implies acceptance of this Privacy Policy.

09No access to Customer data

The Extension operates exclusively within the Customer’s Microsoft Dynamics 365 Business Central environment.

As part of its normal operation, no Customer business data is transmitted to SKOR CONSEIL.

Any access by SKOR CONSEIL to the Customer’s environment requires the Customer’s explicit authorisation and is carried out under a separate support, maintenance, consulting or assistance agreement.

10Documentation and support

SKOR CONSEIL provides setup, configuration and user guides intended to facilitate the deployment and use of the Extension.

This documentation constitutes the official reference documentation for the Extension.

The Customer is responsible for ensuring that users comply with the recommendations and procedures described in this documentation.

Unless otherwise agreed in writing, the acquisition of the Extension does not include:

• consulting services;
• implementation;
• data migration;
• training;
• configuration and setup;
• personalised functional assistance.

11Disclaimer of warranties

To the extent permitted by applicable law, the Extension is provided “as is” and “as available”.

SKOR CONSEIL does not warrant that the Extension will meet all of the Customer’s specific requirements, operate without interruption or errors, or be compatible with all custom developments, customisations or third-party solutions installed in the Customer’s environment.

SKOR CONSEIL further does not warrant the absence of interruption resulting from the unavailability of Microsoft Dynamics 365 Business Central services, changes to the Microsoft platform or circumstances beyond its control.

The Customer remains responsible for verifying that the Extension meets its operational, accounting, logistics, tax, customs and regulatory requirements before putting it into production.

The Customer is also responsible for carrying out the necessary tests, validations and controls before any production use or before any accounting entry generated or facilitated by the Extension.

12Limitation of liability

To the extent permitted by applicable law, SKOR CONSEIL shall not be liable for any indirect, consequential or intangible damages resulting from the use of, or inability to use, the Extension.

SKOR CONSEIL shall in particular not be liable for:

• configuration or setup errors made by the Customer or its service providers;
• use that does not comply with the published documentation;
• data entry errors or inaccurate data present in the Customer’s environment;
• custom developments, customisations or extensions carried out by third parties;
• accounting, tax, customs, financial or operational decisions made by the Customer based on information produced by the Extension;
• the use of unsupported versions of Microsoft Dynamics 365 Business Central or the postponement of updates provided by Microsoft.

Final responsibility for validating data, calculations, cost allocations, generated documents and accounting entries remains with the Customer.

Nothing in these Terms and Conditions of Use shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

13Subscription, billing and refunds

The terms governing subscription, licence management, billing, payment, renewal, cancellation and refunds applicable to the Extension are managed by Microsoft Marketplace in accordance with Microsoft’s applicable terms.

SKOR CONSEIL does not directly market, bill or collect payment for subscriptions purchased through Microsoft Marketplace.

Any request relating to licences, payments, renewals, cancellations or refunds is subject to the procedures and terms applicable to Microsoft Marketplace.

14Termination of the right of use

The right to use the Extension is conditional upon maintaining a valid licence in accordance with the applicable Microsoft Marketplace terms.

In the event of expiry, suspension or termination of the subscription by Microsoft Marketplace, the Customer loses the right to use the Extension in accordance with the applicable terms.

15Governing law

These Terms and Conditions of Use are governed by French law.

Any dispute relating to their interpretation, performance or validity shall fall under the exclusive jurisdiction of the Commercial Court of Saint-Denis, Réunion, subject to any mandatory provisions of applicable law.
